All content, materials, and software developed by Sodel Solutions, including but not limited to code, designs, documentation, trademarks, and copyrights, are our exclusive property or are licensed to us. You may not reproduce, distribute, modify, or create derivative works of any proprietary materials without our prior written consent.

5. Client Deliverables and Ownership

Unless otherwise specified in a written agreement, all custom software, code, and deliverables developed specifically for you under a project engagement shall become your property upon full payment. Sodel Solutions retains ownership of reusable components, frameworks, and intellectual property that are not custom-developed for your specific project.

6. Confidentiality

We respect the confidentiality of your information. Any confidential information shared with us during the course of our engagement will be protected in accordance with our confidentiality agreements and applicable laws. We will not disclose your confidential information to third parties without your consent, except as required by law.

7. Payment Terms

Payment terms for our software development services will be specified in individual project agreements or statements of work. All fees are payable in the currency specified in the agreement. Late payments may incur interest charges as specified in the agreement.

8. Warranty and Disclaimer

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our Services will be uninterrupted, error-free, or free from viruses or other harmful components. We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Sodel Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of our Services. Our total liability shall not exceed the amount paid by you for the specific services giving rise to the claim.

You agree to indemnify and hold harmless Sodel Solutions, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of our Services, violation of these Terms, or infringement of any third-party rights.

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Navi Mumbai, Maharashtra, India.
